TAPE DSP — PLUGIN END USER LICENSE AGREEMENT

IMPORTANT — READ CAREFULLY. This End User License Agreement ("Agreement") is a
legal agreement between you (either an individual or a single entity, "you") and
Tape DSP ("we", "us", or the "Licensor"), for the
Tape DSP audio plug-in software, including the VST3, Audio Unit (AU), and LV2
formats, together with any associated presets, resources, and documentation
(the "Software"). You must accept this Agreement to install the Software on
macOS, Windows, or Linux. By installing, copying, activating, or otherwise using
the Software, you agree to be bound by the terms of this Agreement. If you do
not agree, do not install or use the Software.

This Agreement supplements, and is in addition to, the Tape DSP Terms and
Conditions at https://tapedsp.com/terms and the Privacy Notice at
https://tapedsp.com/privacy. If there is a conflict between this Agreement and
those pages with respect to the Software, this Agreement controls for the
Software.

1. LICENSE GRANT
   Subject to your compliance with this Agreement, we grant you a personal,
   non-exclusive, non-transferable, revocable license to install and use the
   Software on computers that you own or control, for both personal and
   commercial audio production.

   Every released plug-in may be downloaded and used at no charge for its
   included controls. The plug-ins do not consume processing credits.
   Remaining controls unlock with a one-time purchase of an Expansion for
   that plug-in, or of the Tape DSP Collection that covers all Expansions.
   An Expansion or Collection purchase extends this same license to those
   remaining controls for your Tape DSP account. It does not transfer
   ownership of the Software and is not a subscription.

2. ACTIVATION, SEATS, AND INTERNET CONNECTION
   The Software may require one-time online activation with a Tape DSP
   account and may periodically connect to our servers to validate your
   license and any Expansion or Collection you own, check for updates, and
   display occasional product notices. During these connections the Software
   may transmit a randomly generated installation identifier, the product
   name and version, and basic operating-system information.

   An account may keep the Software unlocked on a limited number of machines
   at the same time (currently three). You can free a seat from your Tape DSP
   account; a freed machine locks again when its current lease expires.

   The Software does NOT transmit, upload, or store your audio. Audio
   processing happens locally inside your digital audio workstation. See
   https://tapedsp.com/privacy for how activation and account data are
   handled.

3. PAYMENTS
   Paid Expansions and the Collection are checked out through Lemon Squeezy.
   Lemon Squeezy may act as merchant of record for the payment, collect
   applicable taxes, and apply its own checkout terms to the transaction.
   After a successful payment, Tape DSP grants the matching unlock to your
   account. Tape DSP does not store your full card number.

4. RESTRICTIONS
   You may not: (a) sell, rent, lease, lend, sublicense, distribute, or make
   the Software available to any third party as a standalone product;
   (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive
   the source code or underlying algorithms of the Software, except to the
   extent this restriction is prohibited by applicable law; (c) modify, adapt,
   translate, or create derivative works of the Software; (d) circumvent,
   disable, or interfere with any license activation, Expansion unlock,
   security, seat, or update mechanism; or (e) remove, obscure, or alter any
   proprietary notices, labels, or marks contained in the Software.

5. OWNERSHIP
   The Software is licensed, not sold. All title, ownership, and intellectual
   property rights in and to the Software, including its DSP models, code,
   presets, interface, graphics, and branding, remain with the Licensor and its
   licensors. This Agreement grants you no rights to trademarks or service
   marks.

6. UPDATES
   We may, but are not obligated to, provide updates, upgrades, bug fixes, or
   new versions of the Software. Any such update is governed by this Agreement
   unless it is accompanied by a separate license, in which case that license
   applies.

7. THIRD-PARTY COMPONENTS AND TRADEMARKS
   The Software is built with the JUCE framework and may include other
   third-party components (including Signalsmith libraries), each governed by
   their respective licenses. Acknowledgements and third-party notices, where
   required, are available from the Licensor on request and at
   https://tapedsp.com/terms.

   VST is a trademark of Steinberg Media Technologies GmbH, registered in
   Europe and other countries. Audio Units and AU are trademarks of Apple
   Inc. LV2 is an open plug-in standard. Use of these names does not imply
   endorsement by those trademark owners.

8. NO WARRANTY
   TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED
   "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED,
   STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES
   OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND
   NON-INFRINGEMENT. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY, PERFORMANCE,
   AND RESULTS OBTAINED FROM THE SOFTWARE.

   If the Software is provided as a beta or pre-release version, it may
   contain defects, may change, and may be discontinued at any time. Do not
   rely on beta software for critical work and always keep backups.

9. LIMITATION OF LIABILITY
   TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE
   LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
   EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA,
   RECORDINGS, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS
   AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE
   LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS
   AGREEMENT SHALL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID
   TO TAPE DSP (INCLUDING EXPANSIONS, THE COLLECTION, AND CREDITS) IN THE
   THREE MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN
   EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. TERMINATION
    This Agreement is effective until terminated. Your rights terminate
    automatically, without notice, if you fail to comply with any term of this
    Agreement. We may also suspend or terminate the license if we discontinue
    the Software. Upon termination you must cease all use of the Software,
    including any Expansion or Collection unlocks, and delete all copies in
    your possession or control. Sections 4, 5, 7, 8, 9, and 11 survive
    termination.

11. GOVERNING LAW
    This Agreement is governed by the laws of the country in which Tape DSP
    is established, without regard to conflict-of-laws
    rules, and excluding the U.N. Convention on Contracts for the
    International Sale of Goods. You may bring a dispute in the courts of
    that country, except where mandatory consumer law lets you use the courts
    of your home country. Nothing in this Agreement limits any mandatory
    consumer rights that cannot be waived by contract.

12. ENTIRE AGREEMENT
    This Agreement, together with the Tape DSP Terms and Conditions and
    Privacy Notice, is the entire agreement between you and the Licensor
    regarding the Software and supersedes any prior understanding. If any
    provision is held unenforceable, the remaining provisions remain in full
    force and effect.
